Terms of Service

1. Acceptance

By using Abeely or any of its surfaces (iOS, Android, Telegram Mini App, WhatsApp, website) you agree to these Terms. If you do not agree, do not use the service. Accepting these Terms and the Privacy Policy includes your consent to sending what you write and attach to AI providers as described in section 4 of the Privacy Policy, and you may withdraw it as described there.

2. The service

Abeely is a reverse marketplace connecting customers with local service providers. We are not a party to any agreement reached between customer and provider and do not provide services ourselves.

3. Eligibility

You must be 18+, hold a valid Saudi mobile number, and be authorized to act on your own behalf or for the entity you register. To submit offers you must create a business to offer under. An offer priced above SAR 10000 may only be submitted by a business we have verified — by a valid commercial registration, a freelance certificate, or a professional licence. “Business”: what an individual or an establishment makes offers through on Abeely; earlier versions called it the “store”.

4. Account and security

  • Provide accurate and up-to-date information.
  • You are responsible for protecting your phone number and verification codes. Do not share them.
  • We may suspend or terminate accounts for fraud or policy violations.

5. Acceptable use

You may not:

  • Post offensive, discriminatory, or unlawful content.
  • Impersonate others or manipulate offers and ratings.
  • Use the service unlawfully or contrary to Saudi anti-cybercrime law.
  • Attempt to breach or abuse our APIs.
  • Neither party may urge the other to cancel a deal accepted on Abeely in order to complete it outside Abeely, nor offer or ask to complete outside it a deal that began on Abeely in order to avoid the commission. On a breach we may warn, then suspend the account temporarily or permanently.

6. Pricing and commission

Abeely is entirely free for customers: posting a request, receiving offers and choosing between them cost nothing. A provider owes nothing until an offer of theirs is accepted, or until a paid inspection the customer arranged with them is carried out (“Inspection offers” below). Final pricing:

  • Posting a request — free for the customer: no fee, no commission, no subscription.
  • Submitting offers — free for the provider: no per-offer fee and no daily quota, only a limit that stops rapid automated sending.
  • Acceptance commission — 5% of the transaction value, owed by the provider alone when the customer accepts their offer. The customer pays nothing.

Nothing is added to the 5% and nothing is deducted from it; there is no minimum and no maximum. VAT is not currently collected because we are below the mandatory registration threshold; if registration becomes due we will disclose it before applying it.

The commission base — the transaction value it is calculated on — is the price of the accepted offer, as it stood when the customer accepted it. If the transaction was completed for less, the provider may dispute the entry from inside the app, stating what the customer actually paid, and if the dispute is upheld the commission is recalculated on that amount (clause 8). When it falls due, how it is paid, and what late payment means are set out in clause 15. Inspection offers. If a request needs to be inspected before it can be priced, the provider may send an “inspection offer” instead of a price, in which the inspection is free or carries a fee the provider states, and the provider may deduct that fee from the job price. The customer arranging the inspection is not acceptance of the job, and the request stays open to other offers. If a paid inspection is carried out, the provider owes commission at the same rate (5%) on its fee; a free inspection carries no commission. An inspection counts as carried out if the customer confirms it — and the customer may correct its fee to what they actually paid — or the provider confirms it, or the provider sends the job price after it, or 14 days pass after it was arranged without the customer confirming that it did not happen. If the provider says it did not happen, we ask the customer, and it is cancelled only if the customer confirms. The provider then sends the job price — the full amount the customer pays, with the inspection fee included — and if the customer accepts it, the commission when the transaction is completed is on that price minus the inspection fee on which commission was already due, so no commission is charged twice on the fee. If the customer ends a request in which they arranged an inspection with a provider, we ask them whether they agreed with that provider on the job. If they answer yes and state the amount, it is recorded as a completed transaction with that provider for that amount, commission is due on it like any completed transaction, the provider is notified, and the provider may dispute the entry as set out in clause 8.

If an offer is accepted on Abeely and the deal is then completed outside it between the same parties, the commission is owed by the provider as if it had been completed on Abeely.

7. The claim account and payment

Commission due is recorded in the provider’s claim account inside the app. Every entry carries the request, the transaction value, the rate and the amount. Nothing is recorded against a transaction that was not completed.

Obligation to pay, and how. The provider must pay every commission recorded against it in the claim account. Whatever a statement of account carries falls due 14 days after the statement is issued, except any amount under dispute until the dispute is decided (clauses 8 and 15); the provider may pay its balance at any earlier time it chooses. The provider starts each payment itself from the claim account, on the page of a licensed payment gateway, using any method the gateway offers — such as mada, credit cards, Apple Pay and others, as the gateway supports. No delay is counted for any period in which payment was closed on our side. We never see your card details and never store them on our systems, and we never charge you any amount — monthly or otherwise — unless you start the payment yourself, apart from what you expressly authorise if we offer automatic payment and you turn it on under clause 15. We keep no balance in your favour: anything you paid that turns out not to be owed is returned to you, and is never deducted from later commissions. Paying by bank transfer. The business may also pay by bank transfer to our account — held in the name given in clause 13 and shown in “Commissions”; we never ask for a transfer to any other account in any message — and then upload a photo of the transfer receipt there; it may also enter the transfer’s reference number from its bank. We check that the amount has reached the account and then confirm the transfer for the amount that actually arrived — if that differs from what the business stated, we tell it why — and apply it to its commissions, oldest first: whatever remains stays in the claim account with its due date, and anything above what was owed is returned under clause 8. Its statement shows the date the receipt was uploaded, the date of confirmation and the date of settlement. The business is not suspended from making offers for late payment while its transfer is under our review; if we do not find the amount in the account, we decline the transfer and say why, and its balance stays as it was.

If the deadline passes unpaid, the provider cannot submit new offers until the balance is settled. Nothing already in flight is touched: live transactions continue, the account is not deleted, and the business remains visible to those who dealt with it.

8. Disputes and refunds

Disputing an entry: if commission is recorded for a transaction that was not carried out — it never started, the customer cancelled, the customer could not be reached, you both agreed to cancel, or it was only partly performed — or for a transaction completed for less than the recorded amount, the provider may dispute it from inside the app, stating the reason. A disputed amount does not enter the claim until it is decided. We decide on a dispute within seven business days of its submission.

Refunds: any amount collected without basis is refunded in full — an entry for a transaction shown not to have been carried out, a duplicate charge for a single payment, or an entry calculated on the wrong transaction value. It is returned without any request from you: once this is established by your dispute or by our own review — or when a payment exceeds what its invoice named — we start returning it to the same payment method within two business days; it appears in your account within 7 to 14 business days depending on your card issuer’s processing time, and you can see it in “Commissions” as “awaiting refund” until it completes. If the refund cannot go through the payment gateway at first, we follow it up until it reaches the same payment method. For a charge that does not appear in “Commissions”, write to us through the contact channels in clause 13 with the transaction number. Anything paid by bank transfer is returned by transfer to the account the payment came from: we start it within two business days of it being established, ask you for that account’s IBAN if the receipt does not show it in full, and you can see it in “Commissions” as “awaiting refund” until it completes, then with the transfer’s reference.

Where your offer was accepted and the transaction was in fact carried out, the commission is due and is not refunded. Your statutory right of withdrawal under the E-Commerce Law remains in the cases the law provides for.

If the service suffers a material outage attributable to us that prevents a transaction in which your offer was accepted from being carried out, its commission is cancelled, or refunded if already collected.

All of this — including the cases that are always refunded — is detailed in the Refund & Cancellation Policy, which is part of these Terms.

9. Liability

The service is provided "as is". We do not warrant the quality of third-party services and are not liable for disputes between users. Our liability is limited to the extent permitted by law.

Abeely is not a party to the transaction between a customer and a provider, does not receive its price, and holds no funds on anyone’s behalf. The price of the goods or service is paid directly between the two parties at their own responsibility and never passes through the platform. The only amount we collect is the platform commission owed to us by the provider alone in return for the marketing service we performed for them — a debt owed to us, not a share of their transaction price. A delivery request (courier) is a separate transaction between whoever created it — the requester or the provider — and the courier whose offer they accepted, under all the rules for offers and their commission once the delivery is completed: whoever created it pays the courier, and the courier is responsible for the transport, for the safety of what they carry until they hand it over, and for any licence their activity requires; Abeely carries nothing and does not guarantee the delivery.

The agreement card is a draft that artificial intelligence writes from both parties' texts to make their agreement easier. Abeely is not a party to it and does not guarantee that it is complete; reviewing, approving and editing it are the parties' responsibility.

10. Intellectual property

All rights in the app, brand, and platform belong to Abeely. Content you post remains yours; you grant us a non-exclusive license to use it to operate the service.

11. Changes and termination

We may amend these terms; if we make a material change, we will alert you to it when you open the app so you can confirm you have read it. You may delete your account at any time from Settings. Deleting an account does not cancel a claim balance that fell due before it, nor cancels an amount being returned to you, just as we never bill you for transactions that were not completed.

12. Governing law

These Terms are governed by the laws of the Kingdom of Saudi Arabia — including the E-Commerce Law and its Implementing Regulations — and disputes are handled by the competent authorities in Riyadh.

13. Provider details and contact

  • Name: Mohammed Saud Barakat Alshammari (محمد سعود بركات الشمري)
  • Status: Freelance practitioner — freelance licence no. FL-107113115
  • City: Riyadh — Kingdom of Saudi Arabia
  • Email: support@abeely.app

We respond to inquiries and refund requests within two business days.

14. Dispute resolution

Abeely is an intermediation platform between the customer and the service provider. It is not a party to the deal between them and does not receive its price. This section explains how a dispute is raised and how it is handled.

  1. Between the two parties first: raise the dispute with the other party through the contact channel recorded on the accepted request, allowing a reasonable time to reply.
  2. Then with us: if it is not resolved, send the complaint to support@abeely.app with the request number. We reply within two business days and decide within five business days of receiving complete information.
  3. What we can do: review the record of the request, the offers and the questions; rate the provider; suspend or close their account; and cancel commission recorded without basis. What we cannot do: compel any party to pay or return the transaction price, because we neither receive nor hold it — which is a different thing from our commission, a debt owed to us rather than money belonging to someone else.
  4. Then the regulator: you keep your right to file a report with the Ministry of Commerce through the Commercial Report app or the unified number 1900, free of charge.
  5. Then the courts: and you keep your right to resort to the competent judicial authority under section 12.

We retain the data of contracts concluded through the platform for no less than three years so that it can be referred to when any complaint is examined — what we keep and for how long is detailed in the Privacy Policy.

If the dispute is about commission recorded against you rather than a transaction with a customer, its route is the refund policy directly.

15. Marketing services agreement and success fee

This clause is an agreement between you — as a provider or business owner on Abeely — and us, which you accept on registration and on adding each business. Under it Abeely provides your business with a marketing and technical intermediation service: it shows you real customer requests, lets you submit offers on them, and delivers those offers to the people who posted them. The success fee (5% of the transaction value) is the price of that service, not a share of your transaction: it falls due when the customer accepts your offer and becomes a debt owed by the business to Abeely.

Acknowledgement of electronic signature. You acknowledge that clicking “I agree” on registration and on adding a business — together with what the platform records alongside it: the version of the document, the time of acceptance, the network address, the device fingerprint and the hash of the document text — is your electronic signature on this agreement, carrying the force of writing under Article 55 of the Law of Evidence.

The agreed digital means. The parties agree that the Abeely platform and its electronic records — including the record of the request, the offer and its acceptance, the closing of the transaction, the claim account and its statements, and the record of your acceptance of these terms — are the digital means stipulated in this agreement within the meaning of Article 57 of the Law of Evidence, and that what issues from them is digital evidence that is binding on both parties. Anyone denying the validity of any of it bears the burden of proving that denial under Article 58 of the same law.

Statement of account. A periodic statement is issued for the claim account, shown in the app and savable. The statement is treated as a correct record of what the business owes unless it is disputed from inside the app, or by the email in clause 13, within 15 days of being issued. A dispute raised in time holds the disputed amount until it is decided. The statement balance is never in the business’s favour: anything being returned to the business is shown on the statement as a separate line and is not part of the claim balance.

Breach and jurisdiction. If the claim balance remains unpaid after its deadline has passed and notice has been given, Abeely may claim it, and whatever follows from it in law, before the competent judicial authority under clause 12, relying on these terms and on the platform records named above. This does not affect your right to dispute, nor the route set out in clause 14.

Automatic payment — an optional service not yet offered. We may later let a business owner save a card with the payment gateway and authorise automatic payment of balances as they fall due. If we offer it, we will alert registered users to it when they open the app (clause 11), and it will work only on these terms: (1) it is switched on only by a separate, express consent the business owner gives inside the app, distinct from accepting these terms, and never inferred from silence; (2) the gateway keeps the card as a token on its side — we neither store nor see the card number; (3) only an amount carried by a statement that has fallen due (14 days after it was issued) and whose objection period (15 days from its issue) has passed without objection is charged, no disputed amount is charged until the dispute is decided, and no delay is counted against a business while it awaits a charge it has authorised; (4) we notify you inside the app before every charge, with its amount and date, and you may stop it before that date; (5) you may withdraw the authorisation and delete the card at any time from the app, which applies to every charge not yet made, and payment then returns to the way set out in clause 7; (6) anything charged without basis is refunded in full to the same payment method under clause 8. Withdrawing the authorisation, or a failed charge, does not release you from the obligation to pay.
